Terms of Use

These Terms of Use ("Terms") govern access to and use of ARMS (the "Service", "ARMS", "we", "us", or "our"), including the ARMS web applications, APIs, and related services. By accessing or using ARMS, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms apply to the full ARMS platform, including but not limited to reservations, front desk, guest portal, direct booking, housekeeping, maintenance, stores/procurement, food and beverages (F&B), accounting, billing, OTA, communications, notifications, and superadmin tools.

1. Who We Are

ARMS is a hospitality and property operations platform.

2. Eligibility and Accounts

  • You must be at least 18 years old and capable of forming a binding contract to create an account.
  • You must provide accurate, complete registration information and keep it up to date.
  • You are responsible for safeguarding your credentials and for all activity under your account.
  • Notify us promptly at support@staywyze.com of any unauthorized access or security breach.
  • If you use ARMS on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. Organization Accounts and Roles

  • Properties, hotels, and other organizations ("Customers") may administer users, roles, and permissions within their ARMS account.
  • Your organization's administrators control your access and may view or manage data you enter into ARMS.
  • Where a separate written agreement (for example a subscription or service agreement) exists between ARMS and a Customer, that agreement prevails over these Terms to the extent of any conflict.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable law or regulation.
  • Access or attempt to access accounts, data, or systems you are not authorized to use.
  • Probe, scan, disrupt, or circumvent security or authentication measures.
  • Introduce malware, or interfere with the integrity or performance of the Service.
  • Scrape, harvest, or bulk-extract data except through documented APIs and permissions.
  • Misrepresent your identity or affiliation, or impersonate another person or entity.
  • Use the Service to send unlawful, deceptive, or unsolicited communications.
  • Resell, sublicense, or provide the Service to third parties except as expressly permitted.

We may suspend or terminate access for violations of this section.

5. Bookings, Payments, and Guest Transactions

  • Bookings made through ARMS direct booking experiences are contracts between the guest and the relevant property, not with ARMS.
  • Room rates, availability, taxes, fees, cancellation windows, and refund terms are set by the property and shown at the time of booking.
  • Payments may be processed by third-party payment providers subject to their own terms.
  • Properties are responsible for honoring confirmed bookings and for the accuracy of their listings.

6. Customer Data and Content

  • Customers and users retain ownership of the data and content they submit to ARMS ("Customer Data").
  • You grant us the rights needed to host, process, transmit, back up, and display Customer Data to operate and improve the Service.
  • You are responsible for the accuracy and lawfulness of Customer Data, including obtaining any required consents from guests and staff.
  • Our collection and use of personal data is described in the ARMS Privacy Policy.

7. Intellectual Property

  • ARMS and its software, design, branding, and documentation are owned by us or our licensors and are protected by intellectual property laws.
  • We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms.
  • You may not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law.
  • Feedback you provide may be used by us without obligation.

8. Third-Party Services

The Service may interoperate with third-party services (payment gateways, OTAs, communications, analytics, hosting). Those services are governed by their own terms and privacy policies, and we are not responsible for them.

9. Availability and Changes

  • We aim for high availability but do not guarantee the Service will be uninterrupted or error-free.
  • We may modify, suspend, or discontinue features with reasonable notice where practicable.
  • We may perform maintenance that temporarily affects availability.

10. Suspension and Termination

  • You may stop using the Service at any time. Customers may terminate per their subscription agreement.
  • We may suspend or terminate access for material breach of these Terms, security risk, legal requirement, or non-payment.
  • Upon termination, your right to use the Service ceases. Data export and retention are handled per the Privacy Policy and any applicable Customer agreement.

11. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that data will be error-free.

12. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
  • Our total aggregate liability arising out of or relating to the Service is limited to the amounts paid by you (or your organization) for the Service in the 12 months preceding the claim, or USD 100 if no amounts were paid.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Indemnity

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your Customer Data, or your unlawful use of the Service.

14. Governing Law and Disputes

These Terms are governed by the laws of Zimbabwe, without regard to conflict-of-law rules, unless a mandatory local law or a signed Customer agreement provides otherwise. Disputes will be resolved in the competent courts of Zimbabwe, subject to any mandatory consumer protections in your jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. Material updates will be posted with a revised "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
